End-User License Agreement

1. Internal Use Only

The Software is a proprietary, internal business application of TradePath Education Inc. It is intended solely for use by authorized TradePath Education Inc. personnel in the course of their employment or engagement with TradePath. The Software is not distributed, licensed, sold, or otherwise made available to the public or to any third party.

2. Purpose

The Software provides an interface, via the Model Context Protocol (MCP), to TradePath Education Inc.’s QuickBooks Online (“QBO”) accounting environment. It is used exclusively to manage internal accounting workflows, including but not limited to bookkeeping, reconciliation, reporting, and other ordinary-course financial and business operations of TradePath Education Inc.

3. Grant of License

Subject to the terms of this Agreement and your continued authorization by TradePath, TradePath grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for TradePath’s internal business purposes.

4. Restrictions

You shall not, and shall not permit any other person to:

• copy, distribute, publish, sublicense, sell, rent, lease, or otherwise transfer the Software or any portion of it to any third party;
• use the Software for any purpose other than TradePath’s internal accounting and business operations;
• reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law;
• modify, adapt, translate, or create derivative works of the Software except as authorized by TradePath;
• remove, obscure, or alter any proprietary notices on or in the Software;
• use the Software to access, store, or process data other than TradePath Education Inc.’s own QuickBooks Online data; or
• use the Software in any manner that violates applicable law or the terms of service of QuickBooks Online or Intuit Inc.

5. Ownership

The Software, including all related documentation and all intellectual property rights in or to the foregoing, is and shall remain the exclusive property of TradePath Education Inc. and its licensors. No rights are granted to you other than those expressly set forth in this Agreement.

6. Confidentiality

All data, configurations, credentials, and other information made available to you through the Software, including TradePath Education Inc.’s QuickBooks Online financial data, are confidential information of TradePath. You shall protect such information with at least the same degree of care that you use to protect your own confidential information of similar nature, and in no event with less than reasonable care, and shall use it only in connection with your authorized use of the Software.

7. Third-Party Services

The Software interoperates with QuickBooks Online, a service provided by Intuit Inc. Your use of QuickBooks Online through the Software is also subject to Intuit’s applicable terms of service and policies. TradePath is not responsible for the QuickBooks Online service or any acts or omissions of Intuit Inc.

8. Termination

TradePath may suspend or terminate your access to the Software at any time, with or without cause and with or without notice. Your right to use the Software terminates automatically upon the end of your employment or engagement with TradePath, or upon any breach of this Agreement. Upon termination, you must cease all use of the Software and, at TradePath’s request, destroy or return any copies of related materials in your possession or control.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. TRADEPATH DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRADEPATH EDUCATION INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which TradePath Education Inc. is organized, without regard to its conflict-of-laws principles.

12. Entire Agreement

This Agreement constitutes the entire agreement between you and TradePath with respect to the Software and supersedes all prior or contemporaneous understandings regarding such subject matter.
